  1. Acceptance and Changes to Terms

By downloading, accessing, or using the Songcry mobile application and related services (the "App"), you agree to these Terms of Service (the “Terms”). If you do not agree, do not use the App. If you use Single Sign-On, the applicable third-party provider’s terms may apply.

If you are using the App on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

These Terms incorporate our Privacy Policy (songcry.app/legal/privacy) and any additional policies we post.


  1. About Songcry

Songcry, Inc. (the "Company", "we", "us", "our") provides a location-based music streaming and discovery platform where artists upload user-generated content and listeners stream and interact with that content through the App.


  1. Accounts and Eligibility

You must be at least 18 years old to use the App.

Create an account using email and password or Single Sign-On. You are responsible for your credentials and all activity under your account. Tell us promptly if you suspect unauthorized use.

In limited cases, we may ask you to confirm your age or identity to protect our community. We will not collect or retain identification documents except where necessary to verify eligibility, and any such information will be handled in accordance with our Privacy Policy (songcry.app/legal/privacy).

Artist vs Fan accounts: The App may offer different features or permissions depending on whether you register as an artist or a fan. An artist account may include fan functionality, but a fan account does not include artist upload functionality.

For clarity, an artist account can typically access fan features, but fan accounts cannot upload artist content unless upgraded or converted to an artist account.


  1. Beta Program Notice

The App is in beta and provided for evaluation only. Features may change, may be limited, and may be disabled or withdrawn without notice. The beta is currently closed and invite-only; access is granted at Songcry’s sole discretion.

We may collect additional diagnostics, crash data, and performance information to improve reliability and user experience during beta.

Beta features are not guaranteed to be included in any future commercial release.

We may invite you to participate in surveys, user research, or feedback sessions. Participation is voluntary.


  1. No Professional Advice

The App is provided for entertainment and informational purposes only. The App does not provide legal, financial, career, or other professional advice.


  1. License and Use Restrictions

We grant you a limited, revocable, non-exclusive, non-transferable license to use the App in accordance with these Terms for your personal use and, if you are an artist or rights-holder, to promote and share your own content and your own music through the App’s features in the ordinary course. For clarity, this does not permit any unauthorized commercial exploitation of the App, our services, or our data.

You must not: copy, modify, adapt, translate, reverse engineer, decompile, or create derivative works from the App; access it without authorization; scrape, crawl, harvest, or extract data using automated means; sell, resell, rent, lease, sublicense, or otherwise commercially exploit access to the App or any portion of it; use the App to place unauthorized advertising, spam, or solicitations; or use it for unlawful, harmful, abusive, or fraudulent activity.

Keep your device and operating system up to date. The App may require the latest version to function properly.

Offline access: The App may allow limited offline access to content within the App. Any offline access is for in-App use only. You may not copy, export, extract, reproduce, or redistribute audio/video files or other content outside the App except where a feature is expressly provided by Songcry.

This license terminates automatically if you breach these Terms.


  1. Third-Party Services and Integrations

Single Sign-On: You may sign in using Apple or Google (or other sign-in providers we make available).

You may revoke permissions at any time through your device settings, the App settings, or the third-party service. Revoking permissions may limit or disable certain features.

We are not responsible for the availability, accuracy, or security of third-party services.

We rely on service providers (e.g., hosting, storage, diagnostics, email delivery, authentication, crash logging, security monitoring). We do not control third-party terms and are not responsible for their acts or omissions.

Your use of integrations (e.g., Apple, Google) is governed by their terms in addition to these Terms.

The App may contain links to third-party websites or services. We do not endorse or assume responsibility for third-party content, privacy practices, or terms.


  1. Location Features, Permissions, and Safety

The App’s core functionality is location-based. To access and use key features of the App, you must enable location services and grant the App permission to access your location (for example, “While Using the App” or another permission level supported by your device). If you do not grant location permission, or if you disable location services, some or all features of the App may not function, and features that rely on location (including content distribution and integrity checks) may be limited or unavailable.

Public display vs backend use. The App may allow you to control whether certain location information is displayed publicly (for example, showing only a general location such as a city or region). However, even if you choose not to display location publicly, the App may still collect and process location information on the backend to operate the service, including to deliver location-based functionality, detect fraud or artificial engagement, and protect the integrity and security of the App.

The App collects precise GPS data from your device but uses it only to assign you to a geographic zone. Raw GPS coordinates are not stored or displayed beyond that initial zone assignment.

Location data is currently used in two features: (1) the discovery feed, where songs and content surface based on the user’s geographic zone; and (2) artist analytics, where artists can view approximate city- or region-level listener data. Individual user locations are never shown to other users.

Safety notice: Do not use the App in a way that distracts you or prevents you from obeying traffic, safety, or other laws, including while driving or operating machinery. You are responsible for your own safety and for exercising good judgment when using any location-based features. The App is not an emergency service and you should not rely on it for medical, law enforcement, or emergency assistance. If you need emergency help, call local emergency services.

  1. User Content (UGC) and Licenses

You retain ownership of content you submit to the App. However, because Songcry operates by hosting and streaming user-uploaded audio/video, you grant us a license as described below.

Upload eligibility and formats. Only artist accounts may upload content to the App. Fan accounts are listener-only and do not have upload functionality. Audio uploads are currently limited to .WAV format. Video uploads are also supported.

License grant: You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, cache, reproduce, transmit, stream, publicly perform, display, distribute, and otherwise make available your content as necessary to operate, provide, maintain, improve, and promote the App and the services.

User access and interactions. By uploading or making content available through the App, you authorize Songcry to make that content available to other users as part of the normal operation of the App, including for streaming, playback, “hosting,” sharing, and other interaction features we may offer from time to time.

Sharing and distribution features. You acknowledge that when you use sharing or distribution features (for example, sharing links or content within the App), your content may be viewed, streamed, or accessed by others consistent with your settings and the App’s functionality.

Promotion/marketing: You also grant us the right to use your content (including excerpts/clips), your username/handle, profile image, and other account/profile information you make public in connection with promoting the App and the service (including on social media, marketing materials, and within the App).

You are responsible for your content and must ensure you have the necessary rights to submit it. Do not submit unlawful, infringing, or harmful content.

Artist representations: If you upload music or other content, you represent and warrant that:
(i) you own or control all rights necessary to upload and license the content to us, and
(ii) the content does not infringe any third-party rights (including copyright, neighboring rights, or publicity rights).

No royalties for plays unless expressly stated. Except as expressly set out by Songcry in a separate written program or feature with additional terms, Songcry does not pay royalties, license fees, or other compensation for plays, streams, or listening activity through the App (including during beta). If Songcry introduces any creator monetization or revenue-sharing program in the future, it will be governed by separate terms that you must accept to participate.

We reserve the right to review, remove, block, or refuse to display content that violates these Terms or applicable law, or that we determine (in our discretion) is inappropriate for the platform or does not meet platform requirements.

Content review and platform requirements. Songcry may review uploads before or after they are made available in the App and may reject, limit distribution of, or remove content that does not meet Songcry’s platform requirements or standards (including technical requirements, formatting requirements, or other requirements we may apply from time to time), even if the content does not violate law.

You may delete your content at any time through the App settings or by contacting us. Deletion is subject to the retention practices described in the Privacy Policy (songcry.app/legal/privacy).


  1. Copyright and DMCA Takedowns

If you believe that content available through the App infringes your copyright, you may submit a notice under the U.S. Digital Millennium Copyright Act (“DMCA”) by contacting our Designated Agent at:

Your notice must substantially comply with the requirements of 17 U.S.C. § 512(c)(3), including sufficient information to identify the copyrighted work claimed to be infringed, the material you claim is infringing (with enough detail for us to locate it), your contact information, a statement that you have a good faith belief the use is not authorized, and a statement made under penalty of perjury that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

We may remove or disable access to allegedly infringing material and may take other actions we deem appropriate in our discretion. Songcry may terminate, in appropriate circumstances, accounts of users who are repeat infringers.

Counter-notice: If we remove or disable access to content in response to a DMCA notice, you may send a counter-notice if you believe the content was removed as a result of mistake or misidentification. Your counter-notice must include: (1) your physical or electronic signature; (2) identification of the removed content and the location where it appeared before removal; (3) a statement under penalty of perjury that you have a good-faith belief the content was removed or disabled as a result of mistake or misidentification; and (4) your name, address, telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or, if outside the United States, for any judicial district in which Songcry may be found), and that you will accept service of process from the person who submitted the DMCA notice or their agent. If we receive a valid counter-notice, we may forward it to the original complaining party. Unless the original complaining party files an action seeking a court order against you within the time required by law, we may restore the removed content.

Important: Only DMCA notices should go to the Designated Agent. Other inquiries should be sent to support@songcry.app.



  1. Account Deletion and Data Requests

You may request a copy of your data in a portable format by contacting us. We will respond within a reasonable time.

We may provide exports in a common machine-readable format (for example, a downloadable archive file) depending on the nature of the data and the request.

You may request deletion of your account and associated data through the App settings or by contacting us. Deletion is subject to legal retention obligations and the practices described in the Privacy Policy (songcry.app/legal/privacy).

After deletion, we may retain anonymized or aggregated data for analytics and improvement purposes.


  1. Software Updates

The App may automatically check for and install updates. Certain features may not function unless you install the latest version.

Updates may change, remove, or add features. Continued use after an update constitutes acceptance of the updated App. If you do not agree with an update, your sole remedy is to discontinue use of the App.

You may disable automatic updates through your device settings, but doing so may impair App functionality or security.


  1. Payments and Subscriptions

During beta, the App may be provided at no charge. After beta, we may offer subscriptions or in-app purchases (e.g., via Apple App Store or Google Play). Pricing, renewal, cancellation, and refunds will be shown at the time of purchase.

App Store and platform terms. If you download the App from, or make purchases through, Apple’s App Store, Google Play, or another third-party platform (each, a “Platform”), your use may also be subject to that Platform’s terms and policies, and purchases may be processed by the Platform. Platform providers are not a party to these Terms, and Songcry (not the Platform) is responsible for the App and these Terms. To the extent these Terms conflict with a Platform’s mandatory rules regarding billing, cancellations, renewals, or refunds, the Platform’s rules will control for those transactions.

Subscriptions automatically renew unless cancelled before the renewal date.

Cancellations and Refunds: You are responsible for managing your subscription through the applicable app store. Refunds are subject to the app store’s refund policy, and Songcry does not control app store billing or refunds.

If we offer direct billing in the future, separate payment terms will apply and will be presented before purchase.

All fees are in USD unless otherwise stated. Taxes may apply.


  1. Metrics, Rankings, and Platform Integrity

The App may display or describe certain performance information and related metrics. Any such metrics are platform-generated operational measurements and may be estimates.

“Guaranteed Visibility” means that, subject to these Terms and the App’s functionality, the App is designed to make an artist’s song available for distribution within the applicable location-based experience (for example, the artist’s city feed) during the relevant period. Guaranteed Visibility does not mean that any specific number of users will listen, that any user will listen for any minimum duration, or that any particular result will occur (including follows, saves, shares, donations, revenue, or virality).

To protect the integrity and security of the App and its community, we may adjust, limit, exclude, or reverse distribution or metrics where we reasonably believe activity is associated with spam, fraud, botting, artificial engagement, VPN/location spoofing, or other conduct that undermines the App. We are not responsible for distribution or metrics that are not delivered due to such integrity or security measures.



The App is in beta and Songcry may change how distribution and metrics work over time. Continued use of the App constitutes acceptance of those changes.


  1. Privacy and Data Handling

Our Privacy Policy (songcry.app/legal/privacy) explains how we collect, use, disclose, and protect personal information, including location information, beta telemetry, crash data, and retention practices. It forms part of these Terms by reference.

We do not conduct third-party targeted advertising in beta.

By using the App, you consent to the collection and use of information as described in the Privacy Policy (songcry.app/legal/privacy).


  1. Ownership and Intellectual Property

The App, including software, code, design, trademarks, logos, and content (other than your content), is owned by Songcry, Inc. or our licensors and is protected by intellectual property laws. All rights not expressly granted are reserved.

Feedback you provide (including feature requests, suggestions, or bug reports) may be used by us without obligation. You assign to us any rights needed for us to use feedback to improve the App and our services.

You may not use our trademarks, logos, or branding without prior written consent.


  1. Acceptable Use

You must comply with Songcry’s Community Guidelines songcry.app/legal/community-guidelines (if published), which are incorporated by reference into these Terms. If the Community Guidelines songcry.app/legal/community-guidelines conflict with these Terms, these Terms control.

You agree not to:

  1. Violate any applicable law or regulation.

  2. Interfere with or disrupt the App, its servers, networks, or security features.

  3. Attempt to gain unauthorized access to the App, other accounts, or our systems.

  4. Use the App to transmit malware, spam, viruses, or other harmful code or content.

  5. Misuse the App or attempt to access data beyond what you are authorized to access.

  6. Impersonate another person or entity, or misrepresent your affiliation with any person or entity.

  7. Use the App for unauthorized commercial exploitation of the App, our services, or our data without our prior written consent. This restriction does not prohibit ordinary artist promotion and sharing of your own work through the App’s intended features.

  8. Circumvent, disable, or otherwise interfere with any security, access controls, or usage limits.

  9. Harvest, scrape, or collect information about other users without their consent.

  10. Use the App in a manner that could damage, disable, overburden, or impair the App.

  11. Upload, post, transmit, or make available any content that is unlawful, harmful, or objectionable, including content that is obscene, pornographic, sexually explicit, or that depicts nudity, sexual violence, exploitation, or abuse.

  12. Upload, post, transmit, or make available any content that is hateful or discriminatory, or that promotes violence or hatred against a person or group based on protected characteristics.

  13. Upload, post, transmit, or make available any content that is harassing, threatening, defamatory, or invasive of another person’s privacy or publicity rights.

  14. Upload, post, transmit, or make available any content involving the sexual exploitation of minors (child sexual abuse material, or CSAM). We will report suspected CSAM to appropriate authorities.

  15. Upload, post, transmit, or make available any content that promotes or facilitates illegal activity, or that promotes extremist or terrorist organizations or activities.

  16. Use bots, scripts, automated tools, VPNs, spoofed locations, or other methods intended to manipulate location, plays, impressions, hosting activity, or other App metrics or functionality, or to engage in fraud or artificial engagement.


  1. Moderation and Enforcement

We may suspend your access, restrict features, limit visibility, remove content, reduce distribution, or otherwise limit account functionality if you breach these Terms, pose a security or legal risk, misuse the App, engage in conduct harmful to us or other users, or if required by law. We may do so without prior notice where reasonably necessary.

We may also restrict features, limit visibility, remove content, reduce distribution, or otherwise limit account functionality (including “shadow banning” or similar measures) if we believe, in our discretion, that an account is engaged in spam, fraud, artificial engagement, botting, location spoofing, or other conduct that undermines the integrity of the App.

Reporting and Complaints: If you believe content or user conduct violates these Terms, you may report it through in-App reporting tools (if available) or by emailing support@songcry.app.

We may review reports and may remove content, restrict accounts, or take other action in our discretion, consistent with these Terms.

We are not required to take action in response to every report.

Upon any enforcement action, you may lose access to your account and data. We may delete or retain information in accordance with these Terms and our Privacy Policy (songcry.app/legal/privacy).


  1. Termination

We may terminate or suspend your access to the App (and/or delete or disable your account) at any time, with or without notice, for any reason or no reason, including if you breach these Terms, pose a security or legal risk, misuse the App, engage in conduct harmful to us or other users, or if required by law.

Upon termination, we may delete your account and data in accordance with the Privacy Policy (songcry.app/legal/privacy).

You may stop using the App at any time. To close your account, use the App settings or contact us. Account closure and data handling are addressed in the Privacy Policy (songcry.app/legal/privacy).

Sections that by their nature should survive termination (including ownership, indemnity, disclaimers, limitation of liability, and governing law) will survive.


  1. Communications and Consent

By creating an account, you consent to receive transactional emails and in-App notices related to your use of the App (e.g., account updates, security alerts, feature changes).

We may also send optional promotional or informational communications. You may opt out of these at any time through your settings or by following the unsubscribe instructions in the email.

We will not share your email address with third parties for their marketing purposes without your consent.


  1. Beta Tester Responsibilities

As a beta tester, you may encounter bugs, errors, or incomplete features. Report issues through the App or by contacting us.

Do not publicly disclose or discuss confidential beta features, performance data, or issues without our consent. We may request that you treat certain beta features as confidential.

We may disable your access to beta features or the App at any time for any reason.


  1. Disclaimers

The App is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, secure, or meet your needs, or that defects will be corrected.

We do not warrant the accuracy, completeness, or reliability of any content, data, or information provided through the App.

You use the App at your own risk. Any reliance on information provided by the App is solely at your own risk.


  1. Limitation of Liability

Except to the extent prohibited by law, Songcry, Inc. and its affiliates, officers, directors, employees, agents, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, arising from or related to your use of the App or these Terms, even if we have been advised of the possibility of such damages.

Except to the extent prohibited by law, our total liability for all claims relating to the App or these Terms will not exceed the greater of $500 USD or the amounts you paid to us for the App in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.


  1. Indemnification

You agree to defend, indemnify, and hold harmless Songcry, Inc. and its affiliates, officers, directors, employees, agents, and licensors from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to your use of the App, including:

  1. your content;

  2. your breach of these Terms;

  3. your violation of any law or third-party rights; or

  4. your unlawful or unauthorized use of the App.



  1. Dispute Resolution

Before initiating any formal proceeding, you agree to first contact us to attempt informal resolution. Send written notice describing the dispute and your proposed resolution in accordance with the “Notices” section (see “Contact Us” for our contact details).

We will attempt to resolve the dispute informally within 30 days of receiving your notice.

If informal resolution is unsuccessful, disputes will proceed in accordance with the governing law and venue provisions below.


  1. Governing Law and Venue

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the State of California without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, and waive any objection to venue or forum non conveniens.

Notices are deemed given when sent by email (unless the sender is notified of delivery failure), when posted within the App, or upon delivery by an internationally recognized courier.


  1. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you (e.g., by email or in-App notice) before the changes take effect. Changes take effect on the date stated in the notice. Continued use after the effective date means you accept the changes. If you do not agree to the changes, your sole remedy is to stop using the App and close your account.


  1. Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.


  1. Export and International Use

The App is controlled and operated from California, United States and is intended for use by residents of the United States.

You may not use or export the App in violation of applicable export control or sanctions laws.


  1. General Provisions

Entire agreement: These Terms and the Privacy Policy (songcry.app/legal/privacy) are the entire agreement between you and us regarding the App and supersede all prior agreements and understandings.

No waiver: A failure to enforce a provision is not a waiver of that provision or any other provision.

Severability: If a provision is unenforceable, the remainder of these Terms remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets.

No agency: These Terms do not create any agency, partnership, joint venture, or employment relationship.

Interpretation: Headings are for convenience only. "Including" means "including without limitation".
